A report that SpaceX and Tesla were exploring a merger brought their Bitcoin balances into focus. CoinDesk’s October 21 article described special committees reviewing a possible transaction, with no agreement on terms.

The article cited existing holdings of 18,712 BTC at SpaceX and 11,509 BTC at Tesla, totaling 30,221 BTC. These are the report’s dated figures, not a post-merger financial statement.

Bitcoin is one asset within a broader corporate question

A major corporate combination involves governance, operations and financing. BTC holdings are one asset item within that process. The visibility of the balances does not establish that Bitcoin accumulation is the purpose of the proposed merger.

Exploration also differs from publication of agreed transaction terms. Review by independent committees leaves open the possibility that no deal occurs. Removing that condition from the headline and inserting a combined company into a holdings ranking would change the status of the reporting.

From a Bitcoin perspective, the eventual change would depend on asset management and purchase or sale authority. Becoming part of one corporate group and moving coins into one on-chain wallet are also separate events.

A combined balance is not new market demand

Adding two existing asset balances is different from acquiring new Bitcoin. Even if a merger occurs, the sum cannot be described as an equivalent additional spot purchase.

The eventual structure would also determine consolidation and asset-management responsibility. Bitcoin is one consideration within the broader corporate transaction.

Composition and price sensitivity of 30,221 BTC

Using the reported quantities, SpaceX represents approximately 61.92% of the combined BTC and Tesla approximately 38.08%. Those are proportions of coins, not proposed merger ownership percentages. They omit the companies’ other assets, liabilities and enterprise values.

EntityReported BTC quantity
SpaceX18,712 BTC
Tesla11,509 BTC
Simple combined balance30,221 BTC

At an illustrative $80,000 price, the combined value would be $2.41768 billion. A $1,000 BTC move would change that valuation by $30.221 million. This explains the scale of the reported holdings, rather than calculating actual merger consideration or a newly disclosed corporate gain.

Milestones that remain separate

Committee review, agreement on terms, required approvals and closing are distinct stages. Describing exploration as a confirmed merger or completed asset transfer would misstate the status.

Follow official filings and statements from both companies. If a transaction becomes concrete, custody and asset-treatment disclosures will help establish whether anything has actually changed from a Bitcoin perspective.

BTC quantities cannot determine a merger exchange ratio. Holding more coins does not establish the same percentage entitlement to the combined company. Operating businesses, other assets, liabilities and negotiated terms matter, and the report contains no agreed ratio.

Corporate disclosures and analytics providers’ attributed wallet balances can also differ in cutoff and scope. If a later number changes, first determine whether it reflects an actual purchase or a change in the measurement basis.

A conditional combined balance should therefore remain distinct from the reported holdings of an existing single entity. That preserves the scale comparison without treating an uncompleted structure as an established corporate balance.

A corporate combination need not combine wallets

Two hypothetical companies joining one group could retain their existing custodians and wallets. Conversely, changing custody could involve wallet transfers without a new market purchase. Merger announcements, on-chain movements and new purchases therefore require different evidence.

Follow agreement and closing status before examining asset-treatment and custody policies. Keep balance dates aligned rather than indefinitely reusing an older quantity as current. The reported development is consideration of a structure that could combine existing holdings, not confirmation of closing or additional spot demand.
